Caroline Aiken Koster is the General Counsel, ESG, Chief Counsel for Securities & Corporate Governance, Managing Director and Corporate Secretary at Newmark Group, Inc. She oversees corporate governance for the Company and also provides legal advice to Newmark’s executive management, the Board of Directors and Audit, ESG and Compensation Committees with respect to securities, SEC reporting, capital markets, related party matters, significant corporate transactions, communications, ESG, code of ethics and strategic, risk and operational matters.
Koster joined Cantor Fitzgerald, L.P., Newmark’s parent company, as a partner and employee in 2002 and serves as its Managing Director and Associate General Counsel. She provides general corporate representation to Cantor Fitzgerald and its affiliates across multiple business lines of its highly diversified financial services and other companies. Koster has advised on acquisitions and transformational transactions, including Newmark’s IPO and spin-off. She is also the General Counsel, ESG, Chief Counsel, Securities and Corporate Governance, Managing Director and Corporate Secretary of BGC Partners, Inc.
Koster also serves as General Counsel and Secretary for the Cantor Fitzgerald Relief Fund, a 501(c)(3) charitable organization formed following September 11, 2001.
Koster began her career in the law firm Fulbright & Jaworski L.L.P (now Norton Rose Fulbright).
Personal Affiliations and Achievements
Koster serves on charitable boards and is a founder of several charitable initiatives. She co-founded the Brooklyn Heights Community Fridge project, which won Nextdoor’s 2021 global LoveYourNeighborhood Award. She is also a writer and her essays have appeared in The New York Times, Wall Street Journal, NBC News THINK, New York Daily News and more.
Education
Koster received a Bachelor of Arts degree from Duke University and a Juris Doctor degree from Georgetown University Law Center. She is admitted to practice law in the State of New York.
